TechBridge – Standard Terms and Conditions of Sale
(Circular Equipment)
- 1. Definitions
- In these Terms and Conditions:
“Seller” means TechBridge and its subsidiaries, affiliates, or authorized representatives.
“Buyer” means the individual, company, or organization purchasing goods from the Seller.
“Goods” means TechBridge circular equipment and any related accessories, spare parts, or services provided.
“Contract” means the agreement for the sale and purchase of Goods, incorporating these Terms and Conditions.

misuse, neglect, or improper installation;
unauthorized modifications or repairs.

9.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
2. Basis of Sale
2.1 All quotations, orders, and sales of Goods are subject to these Terms and Conditions, which prevail over any Buyer terms unless expressly agreed in writing by the Seller.
2.2 No variation shall be binding unless confirmed in writing by an authorized representative of the Seller.
3. Orders & Acceptance
3.1 An order constitutes an offer by the Buyer to purchase Goods.
3.2 The Seller’s acceptance occurs only when confirmed in writing or upon delivery of the Goods, whichever is earlier.
4. Price & Payment
4.1 Prices are as quoted by the Seller or as set out in the Seller’s published price at the time of order.
4.2 Unless otherwise stated, prices are exclusive of VAT, sales tax, duties, and delivery charges.
4.3 Payment terms are prepayment unless otherwise agreed in writing.
4.4 Late payments may incur interest at 5% per month.
5. Delivery
5.1 Delivery dates are estimates only and the Seller shall not be liable for delays beyond its reasonable control.
5.2 Risk in the Goods passes to the Buyer upon delivery.
5.3 Title to the Goods shall not pass until full payment has been received by the Seller.
6. Inspection & Acceptance
6.1 The Buyer must inspect the Goods immediately upon delivery.
6.2 Claims for shortages, damage, or defects must be notified to the Seller in writing within [7 days] of delivery.
7. Warranty
7.1 The Seller warrants that the Goods are in working condition to the best of their knowledge 90-Days from delivery.
7.2 The Seller’s liability under this warranty is limited, at its option, to repair, replacement, or refund of the defective Goods.

8.1 Goods may not be returned without prior written consent of the Seller.
8.2 Approved returns must be in original packaging, unused, and subject to a restocking fee of 20%.
9. Liability
9.1 Except as expressly provided in these Terms, all warranties, conditions, and representations are excluded to the fullest extent permitted by law.

The Seller shall not be liable for failure or delay in performance due to circumstances beyond its reasonable control (including strikes, shortages, accidents, transport delays, or government restrictions).
11. Governing Law & Jurisdiction
